History
Stalexport Autostrady S.A. (previously STALEXPORT S.A.) began its activities on 1st January 1963 as the Foreign Trade Enterprise (Przedsiębiorstwo Handlu Zagranicznego) dealing with the export and import of steel and metal goods and till 2007 it functioned mainly in this sector, undergoing various changes during forty five years, as follows:
- in 1993 the enterprise was transformed into a Joint Stock Company with the State Treasury as its only shareholder and it underwent privatisation;
- in 1994 the Company “enters” the Warsaw Stock Exchange and it has been extending systematically its Capital Group;
- in 1997 the Company wins the tender procedure and gets for 30 years the concession for construction through adaptation and operation of the A4 toll motorway, section Katowice - Kraków. In 2004 this concession is transferred to the subsidiary company, i.e. Stalexport Autostrada Małopolska S.A. in Mysłowice;
- in year 2000, the crucial one for the Company, the Management Board is changed and the Company undergoes the deep restructuring which covers all the domains of the Company’s activity, including financial and organisational restructuring;
- in 2001 the arrangement procedure is opened, and it terminates in June 2002 by issuing by the District Court in Katowice the decision about the approval of the arrangement with the creditors. The arrangement covered the debts in the total amount of PLN 605.8 m, out of which 40 % was redeemed, and a part of the debts was converted to shares. The total value of the shares covered by the creditors amounted to PLN 189,856,394. The equity increase was registered on 06.08.2003, and as from 10.10.2003 the shares of new issue after the assimilation are listed at Warsaw Stock Exchange. Other arrangement liabilities were repaid in 20 quarterly instalments out of which the last one was repaid in July 2007. Concluding the agreements with the financial institutions was the next element of restructuring. It concerned the restructuring of the secured loans, i.e. the amortisation of a part of penalty interests, deferment of commencement of their repayment by one year and arranging instalment for a payment for 5 years;
- in 2006 the Company wins the strategic investor – the company Atlantia S.p.A. with seat in Rome (Italy) – the leader on European market of motorway management. Atlantia S.p.A. manages the network of over 3,400 km of toll motorways in Europe and the USA, and it is the leader in the systems of automatic toll collection on motorways. The shares of Atlantia S.p.A. are listed at the stock exchange in Milano;
- in the second half of 2007 the company changed the name of the firm, under which the company had been acting, from: STALEXPORT S.A. to Stalexport Autostrady S.A., which was strictly connected with the conducted process of the disposal of the steel business. In October 2007 the organised part of enterprise was sold, dealing with the trading activity and since then Stalexport Autostrady S.A. focuses its activity on the motorway business.
The company Stalexport Autostrady S.A. belongs to the Capital Group of Atlantia through the company Autostrade per l’Italia S.p.A., which holds at present the share over 50% in the equity of Stalexport Autostrady S.A.
