Purchase of shares of the company Biuro Centrum Sp. z o.o.

The Management Board of Stalexport Autostrady SA informs that today, i.e. on 05.12.2007 it signed the Sale Agreement of shares in the company Biuro Centrum Sp. z o.o. with seat in Katowice, with the company Centrozap SA with seat in Katowice. As a result of this transaction 54 shares in Biuro Centrum Sp. z o.o., were purchased, which constituted 33.75% in the stock capital of the Company, and 33.75 % share in the votes at the General Meeting of Partners of Centrozap S.A. The total selling price of 54 shares of the company Biuro Centrum Sp. z o.o. amounted to 30,000 zloty.

Before the transaction Stalexport Autostrady S.A. held 65 shares ( i.e. 40,6% share in votes at the General Meeting of Partners) in Biuro Centrum Sp. z o.o., as a result of the transaction the shares of Stalexport Autostrady S.A. will increase to 74,4% n votes at the Meeting of Partners ( 119 shares in total). Simultaneously the Company informs that Mr. Mieczyslaw Skolozynski, Vice-Chairman of the Management Board of Stalexport Autostrady SA is the member of the Supervisory Board of Centrozap SA. Stalexport Autostrady SA holds 90,431,165 votes at the General Meeting of Centrozap SA, which constitutes 7.13% share in stock capital of the Issuer.

In other range there are no relations between the Issuer and its managing and supervising persons, and the persons managing and supervising the Purchasing party. The criterion of recognizing the disposed assets as the assets of significant value is the fact that they constitute over 20 % of stock capital of the company Biuro Centrum Sp. z o.o.
