Merger of the companies - purchasing own shares

Referring to report no 75/2004 - The merger plan of companies dated 29.10.2004, the Management Board of STALEXPORT SA informs that while executing the points II to IV of the a/m Plan, which concern granting the shares to the shareholders of CENTROSTAL Warszawa S.A. - on 22.03 and 23.03.2005 - 281.620 own shares was purchased by Stalexport SA via brokerage house. The purchased shares are designed for settlement with the shareholders of CENTROSTAL Warszawa S.A.

• The average purchasing price amounted 2,02 zlotys.
• The nominal price amounts to 2 zlotys per share.
• The purchased shares constitute 0,26% of the share capital of the company and also gives 281.620 votes at the General Meeting. Shares granting will take place on conditions agreed earlier.
