Report no. 13/2023

With reference to current report no. 12/2023 of 8 March 2023 the Management Board of Stalexport Autostrady S.A. (hereinafter referred to as: “the Company” or “the Issuer”) informs that Mundys S.p.A. (formerly Atlantia S.p.A.), a majority shareholder, under point 17 of agenda of the Ordinary General Meeting of the Issuer, convocated for 4 April 2023, proposed Ms. Beata Stelmach as a candidate for the Supervisory Board of Stalexport Autostrady S.A.

According to the statements made by Ms. Beata Stelmach:

• she meets the independence criteria provided for an independent member of the Remuneration Committee referred to in Appendix II to the European Commission Recommendation of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and recommendations included in the Best Practices of GPW (Warsaw Stock Exchange) Listed Companies 2021;
• she meets the independence criteria provided for an independent Audit Committee member, as referred to in Art. 129 (3) of the Act on Statutory Auditors, Audit Firms and Public Supervision dated 11 May 2017 (Journal of Laws of 2017, item 1089) and § 3 (5) of the Regulations of the Audit Committee;
• she has knowledge and skills in the field of accounting or auditing of financial statements;
• she has knowledge and skills with regard to the sector in which the Company operates.
