The Management Board of Stalexport Autostrady S.A. (hereinafter: the Issuer) hereby informs that on 29 March 2022 the Ordinary General Meeting of VIA4 S.A., a subsidiary to the Issuer, adopted resolution No. 4/2022 on apportionment of net profit for turnover year 2021 which read as follows:

Resolution No. 4/2022

of the Ordinary General Meeting of VIA4 S.A.,
with its registered office in Mysłowice,
dated 29th March, 2022,

on distribution of the profit for the financial year 2021

Acting pursuant to article 395 § 2 point 2 in accordance with art. 348 § 1 of the Commercial Companies Code, the Ordinary General Meeting of Shareholders of VIA4 S.A. decides the net profit for the year 2021 in amount of PLN 10,800,703.17 (say: ten million eight hundred thousand seven hundred three zloty, seventeen groszy) and other comprehensive income of the period in amount of PLN 16,824.32 (say: sixteen thousand eight hundred twenty four zloty, thirty two groszy), i.e. in total PLN 10,817,527.49 (say: ten million eight hundred seventeen thousand five hundred twenty seven zloty, forty nine groszy) will be allocated to dividend for the shareholders and will be distributed for:

a) Stalexport Autostrady S.A. in the amount of PLN 5,949,640.12 (say: five million nine hundred forty nine thousand six hundred forty zloty, twelve groszy), from which:

- PLN 1,650,000.00 will be paid on 03.06.2022
- PLN 4,299,640.12 will be paid until 5.12.2022

b) Egis Road Operation S.A.S. in the amount of PLN 4,867,887.37 (say: four million eight hundred sixty seven thousand eight hundred eighty seven zloty thirty seven groszy), from which:

- PLN 1,350,000.00 will be paid on 03.06.2022
- PLN 3,517,887.37 will be paid until 5.12.2022.

Legal Basis:

Art. 17 sec. 1 of the Regulation of the European Parliament and of the Council (EU) No 596/2014 of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
